It is prohibited to engage in any commercial activity unless registered in a Commercial register; and according to Proclamation No. 980/2016 (and its amendment 1150/2019), no person shall engage in business activity without acquiring business license. The Proclamation further stipulates no person is allowed to obtain any kind of business license without first being registered in the commercial register and acquiring commercial registration certificate. A business organization would attain legal personality upon its’ registration in the commercial register. The commercial registration and business license is regulated by the Ministry of Trade and Industry or other relevant government organs that are vested with such power.
Note that, engaging in a business activity without commercial registration and a business license has serious repercussions.

Share Company can be formed by a minimum of 5 persons. Generally, a minimum capital of Br. 50,000 is needed to set up a Share Company. The minimum price a single share can have is Br. 10.
- One-Person Company: This new form of business organization is recognized under the new Commercial Code. This form of business organization is owned by one-person who, as a principle, is not personally liable for the liabilities of the company.
The current investment law considers among others the following investors as domestic investors:
- An Ethiopian National;
- An enterprise incorporated in Ethiopia and wholly owned by Ethiopian national;
- The government;
- A public enterprise;
- A cooperative society established as per the relevant law;
- A foreign national or foreign enterprise treated as domestic investor as per the relevant law or international treaty ratified by Ethiopia (e.g. foreign nationals of Ethiopian origin); and
- An enterprise incorporated in Ethiopia jointly between any of the investors specified above.
At the same time, the investment law regards the following as a foreign investor:
- A foreign national;
- An enterprise in which a foreign national has an ownership stake;
- An enterprise incorporated outside the Ethiopia by an investor;
- An enterprise established jointly by any of the above investors; and
- An Ethiopian permanently residing abroad and preferring treatment as a foreign investor.
Yes. There are three forms of incentives. The first is fiscal incentives which are exemptions from customs duty and exemption from various taxes. The other is non-fiscal incentive, such as the supplier’s credit and the remittance of foreign currency by foreign Investors. The third form of incentives are financial incentives in which the government provides either grants or ―direct subsidies which may cover the entire or substantial part of capital, production or marketing costs in relation to the project grant.

Business Plan
YEP focuses on group and management skills, but also individual skills such as preparing your own business plan. The knowledge, expertise and skills you have learned through YEP will give you the tools to create this plan for your organization. This business plan will challenge you as you will need to incorporate innovative and creative ideas. Business plans can include an introduction to a new product, launch of a unique service, or the plan to acquire a new market. They are a way to add value to your employers’ business and will describe how the new ideas will affect the various functions and finances of the organization. YEP trainers, your personal coach and your employer will support you and be involved in this challenging exercise. The business plan that you create will be developed over the course of the two-year program and will be presented to the examination committee upon completion of the course.

It is conventional wisdom that new businesses be planned prior to their start-up hence prospective business founders are generally advised to develop formal plans of their proposed ventures. A business plan that serves as a blueprint or road map that provides direction and increases the firm’s chances for survival and success is thus essential. According to Kraten and Kenneth (2010), a business planning document represents “a nuts-and-bolts document” that clearly demonstrates that the business operator prepared to operate the business from day one. Andualem (1997) asserts that SMEs with regards to Ghana comprise activities that are independently owned and operated; managed by the owner; have a small share of the market; and employ 6-49 employees. This study investigated the impact of a business planning document on the growth of small scale businesses. Basically, the researcher chose the survey strategy in line with the observation that it is possible to use survey approaches within either a qualitative or quantitative research strategy. All the 50 respondents chosen purposively from the target population responded to the survey questionnaires. The study found that business planning influences the success or survival of SMEs. Also SMEs Enhance poverty alleviation, Improve per capita income, Enhance the quality of lives, Encourage technological innovations, Enhance export promotion, Enhance GDP growth, Encourage entrepreneurship, Accelerate employment generation, Ensure inter- and intra-regional decentralization, Serve as a countervailing force against the economic power of larger firms, Accelerate the achievement of wider socio-economic objectives, as well as Serve as cornerstone for socioeconomic growth and stability.
